Terms of Service

Tokoaido is currently a design-partner / early-access product. This document is a good-faith template that describes our intent; it should be reviewed by your counsel and finalized in your commercial agreement before any production use.

These terms govern your use of the Tokoaido website, the demo environment, and, where applicable, the platform under a separate commercial agreement. By using the service you agree to these terms.

01The service

Tokoaido is a governed OT→IT operations platform that discovers processes and runs governed automations you approve. The public demo is a seeded, non-production environment provided for evaluation.

02Demo & evaluation use

The demo environment uses simulated data and is provided “as is” for evaluation only.
Do not upload confidential, regulated, or personal data into the demo.
We may reset, rate-limit, or modify the demo at any time.

03Acceptable use

You agree not to misuse the service, including by attempting to breach security or tenant isolation, reverse-engineer non-public components, disrupt the service, or use it to violate applicable law or third-party rights.

04Human-in-the-loop & the safety boundary

The platform is designed so that agents propose actions and execute only within approved, earned authority; consequential actions require human approval.

By architecture, agents route writes through MES/SCADA with approval and cannot issue a direct PLC write or interact with a Safety Instrumented System. You remain responsible for your own operational and safety procedures and for the approvals your personnel grant.

05Customer data & IP

As between the parties, you retain all rights to your data and configurations; we retain all rights to the platform, software and documentation.

You grant us a limited license to process your data solely to provide the service, as detailed in your Data Processing Agreement.

06Commercial terms

Paid access is governed by an Order Form and Master Services Agreement that take precedence over these terms for the platform. Design-partner engagements are governed by their specific agreement.

07Warranties & disclaimers

Except as expressly stated in a signed agreement, the demo and website are provided “as is” without warranties of any kind. Automation recommendations are decision-support; you are responsible for the approvals you grant and the actions you authorize.

08Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, or consequential damages; total liability for the free demo/website is limited as permitted by law. Specific liability terms for the platform are set in your commercial agreement.

09Changes

We may update these terms; material changes will be reflected by the “last updated” date. Continued use constitutes acceptance.
